This case focused on how State-Owned Enterprises (SOEs) build modern corporate management systems with Chinese characteristics. Taking the upgrade of China Southern Power Grid’s (CSPG) management system as the main thread, it recounts the concrete steps the company took to construct a modern SOE management system that is distinctly Chinese. Guided by the "Two Combinations" methodology, the firm succeeded in deeply integrating modern scientific management tools with the demands of China’s institutional environment and its own business realities, creating a management system that is simultaneously modern, CSPG-specific and Chinese in orientation. The experience offers a replicable theoretical model and a practical pathway for resolving the institutional duality dilemma that SOEs habitually face.
Centering on the institutional-duality challenges encountered during the upgrade, the case spotlights four pivotal managerial issues: how epoch-minded design can enhance managerial regularity and scientificity; how CSPG-specific measures can solve company-wide coordination problems; how a Chinese orientation can satisfy the requirement of the socialist institution; and how contingency management can enable differentiated roll-outs across subsidiaries. By examining these China-grounded theories and routes for management system building, the case provides useful reference for SOEs intent on developing modern, world-class corporate governance with Chinese characteristics.
