Amid the combined pressures of volatility in global consumer-goods supply chains, increasingly stringent compliance requirements, and the rapid evolution of cross-border e-commerce, Yiwu-based M Group operates two business models with markedly different rhythms: one is its traditional B2B foreign trade business, which prioritizes reliable delivery and risk control, while the other is its B2C cross-border e-commerce business, characterized by rapid product launches and traffic-driven growth. As the Group has expanded in scale while continuously creating new organizational units, a range of internal governance challenges has gradually emerged, including inconsistent data definitions, unclear process boundaries, conflicts over resource sharing and incentives, and difficulties in assigning and enforcing risk-control responsibilities across organizational levels. Externally, the Group also faces non-negotiable customer requirements concerning delivery traceability and greater transparency in payments and compliance. The protagonist of the case, Chen Yuanhang, is a vice president of M Group and one of the early entrepreneurs involved in its Yiwu operations. He has witnessed the company’s transformation from a procurement office into a diversified corporate group, as well as the evolution of its internal equity incentive schemes and the proliferation of semi-autonomous operating units. In response to the underwhelming results of the Group’s digital investments, the differing governance requirements of traditional foreign trade and cross-border e-commerce, and the difficulties operating units face in sharing resources, Chen is commissioned by the Group’s senior management to lead the development of an organizational and digital-intelligence governance plan for the next stage of growth. Chen must reconcile the differing priorities of the traditional foreign trade business, the cross-border e-commerce business, the shared middle-platform teams, and relevant functional departments. He is expected to formulate a phased set of governance recommendations that specifies the conditions required for implementation, the scope of rollout, and the mechanisms for ongoing adjustment. Major matters involving capital investment, organizational restructuring, and Group-wide resource allocation must be submitted to senior management for decision-making. This case is designed to help students understand how enterprises operating in uncertain environments can reconstruct their governance logic through institutional arrangements, shared platforms, and digital-intelligence capabilities, while establishing workable organizational boundaries that balance efficiency, innovation, and risk.
