Abstract:
In recent years, shareholding battles are often seen in listed companies in China. The prolonged tussle over the control of China Vanke has sparked heated debates and controversies, and is worth studying as a classic case of its kind. Given that many scholars have conducted research about the turf war from such perspectives as corporate governance, ownership structure optimization, insurance capital supervision, and independent director, this case studies the whole process of the rivalry from the perspective of minority shareholders’ interests, which is less touched upon. While going over the key timelines, the case unveils actions that might infringe the interests of minority shareholders, and advises students to, based on thorough analyses, think about what approaches and measures listed companies should take to protect minority shareholders’ interests in the governance and supervision process.
